Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Rhl Consulting Services Inc., operating as RHL Counsel, concerning your access to and use of our website and services.

RHL Counsel provides professional computer systems design and related services, including but not limited to:

Client Work Product

Unless otherwise specified in a separate agreement, deliverables created specifically for a client under a service engagement will be owned by the client upon full payment. RHL Counsel retains ownership of pre-existing materials, methodologies, and general knowledge.

Service Agreements and Payments

Specific consulting and technical services will be governed by separate service agreements or statements of work that detail:

  • Scope of services and deliverables
  • Project timelines and milestones
  • Fees and payment terms
  • Confidentiality obligations
  • Acceptance criteria and warranties

Payment terms will be specified in individual service agreements. Late payments may be subject to interest charges and may result in suspension of services.

Confidentiality

We understand that in the course of providing services, we may have access to confidential information. We commit to:

  • Maintaining the confidentiality of client information
  • Using confidential information only for the purpose of providing services
  • Implementing appropriate security measures to protect information
  • Not disclosing confidential information to third parties without consent

Warranties and Disclaimers

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless RHL Counsel and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of our services
  • Your violation of any rights of another party
  • Your violation of applicable laws or regulations

Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada and the Province of Ontario, without regard to conflict of law principles.

Any disputes arising from these Terms or our services shall be resolved through:

  • Good faith negotiations between the parties

Changes to Terms

Severability
